OvaScience Prices $115 Million Public Offering of Common Stock

CAMBRIDGE, Mass.--(BUSINESS WIRE)--Jan. 7, 2015-- OvaScienceSM (NASDAQ: OVAS), a global life sciences company focused on the discovery, development and commercialization of new fertility treatments, announced today that it has priced its previously announced underwritten public offering of 2,300,000 shares of its common stock at a public offering price of $50 per share. Gross proceeds to OvaScience from this offering are expected to be approximately $115 million, and OvaScience intends to use the net proceeds from this offering to fund the expanded international launch of the AUGMENTSM treatment, planned international launch of the OvaPrimeSM treatment, development of the OvaTureSM treatment and pursuit of a potential accelerated development pathway, establishment of an international headquarters in the United Kingdom and additional subsidiaries, and for other general corporate purposes.

OvaScience has granted the underwriters a 30-day option to purchase up to an additional 345,000 shares of common stock offered in the public offering. All of the shares in the offering will be sold by OvaScience. The offering is expected to close on January 13, 2015, subject to customary closing conditions. J.P. Morgan Securities LLC is acting as lead book runner for the offering. Credit Suisse Securities (USA) LLC is also acting as joint book runner for the offering. Leerink Partners LLC is acting as co-manager for the offering. H.C. Wainwright & Co., LLC and Ladenburg Thalmann are acting as advisors to the Company.

The public offering is being made pursuant to a shelf registration statement on Form S-3 that was previously filed with and declared effective by the Securities and Exchange Commission (SEC).
